NEW YORK (Reuters) – The U.S. Securities and Exchange Commission on Wednesday proposed legislation that would permit regulators to more quickly take enforcement actions against companies that do not correct serious and recurring problems with their financial reporting.

The SEC’s rule would require companies to appoint a compliance officer to oversee an audit program and the company’s board to adopt a policy that requires such an officer to attest that the company’s consolidated financial statements were prepared in accordance with applicable accounting principles, at all material times.

The rule would ensure that a company has a senior-level official with authority and responsibility for ensuring that the company’s financial statements fairly present in all material respects the financial condition of the company and its results of operations, commensurate with the company’s level of business risk.

Companies would also need to prepare and maintain written procedures for managing the audit program, as well as written procedures for managing and responding to potentially misleading and inaccurate information in the financial statements.

The rule is part of SEC Chairman Jay Clayton’s chairman’s initiative, which aims to hold companies accountable for their financial reporting.

The SEC proposed the rule in January following high-profile accounting scandals such as retailer bankruptcies, worker misclassification, false earnings releases, and overstated assets and inflated inventories
